G4S, an international security solutions group, announced the signing of a sale and purchase agreement to acquire Adesta LLC and Adesta LP (Adesta) from McCarthy Group and a group of senior management employees for US$66 million. Adesta had revenues of $92 million in 2008.

Adesta is U.S.-based and provides systems integration and project management services for integrated security systems and communication systems. The business has three areas of focus related to secure solutions for critical infrastructure — sea ports, other critical infrastructure and critical assets and broadband communications networks often used to carry video data.

David Fairnie, G4S Global Ports Solutions Director, said, “As a systems integrator in the design, management and operation of command and control centers, the Adesta acquisition is an important strategic addition to G4S's secure solutions offering to US and International seaports, where Adesta has impressive market experience and penetration. In particular, we believe Adesta can add considerable value to our unique solutions approach for chemical/petrochemical infrastructure security.”

Grahame Gibson, Regional President, G4S North America, said, “G4S' capability to deliver advanced technology solutions efficiently to US customers will be materially advanced by the Adesta acquisition and access to Touchcom's One Facility software  will enhance Adesta's ability to grow its security–related business.”

Completion of the acquisition will be subject to customary closing conditions and relevant regulatory approvals.
