1. ACCEPTANCE OF TERMS 
New Era International Inc. ("ASMAG.COM") provides its service to you subject to the following ASMAG.COM Terms of Service ("ATS"), which may be updated from time to time without your notice. When you use ASMAG.COM's service, it means you already acknowledge and accept all the terms in this agreement. You can review the most current version of the ATS at any time. Using our service means you already acknowledge and accept the revised sections of the ATS. If you do not accept any parts of this agreement, or if your country or region excludes partial or entire parts of this agreement, you should suspend using ASmsg.com at once.
If you are under 18, you can use ASMAG.COM service only after your parents, or guardians, acknowledge and accept this agreement and revised content. Once you use or continue using ASMAG.COM's service, it means your parents, or guardians, already acknowledge and accept the terms of this agreement and revised contents.

The main purpose of the search function of ASMAG.COM is helping you get information promptly. You may link to other World Wide Web sites or resources outside of ASMAG.COM. You acknowledge and agree that ASMAG.COM is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that ASMAG.COM shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

3. YOUR REGISTRATION OBLIGATIONS

5. MEMBER ACCOUNT, PASSWORD AND SECURITY 
You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account.
You agree to (a)  Immediately notify ASMAG.COM of any unauthorized use of your password or account or any other breach of security. 
(b) Ensure that you exit from your account at the end of each session.

6. MEMBER CONDUCT 
You agree to use ASMAG.COM service legally and without illegal purpose. You also acknowledge and accept the laws of R.O.C and any international practice of the Internet. If you are outside of Taiwan, you have to observe the laws of your country or region. You also guarantee that you cannot use this service to invade others' rights or do anything illegal, including but not limited to: (a)  Upload, post, e-mail, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable. 
(b) Upload, post, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party. 
(c) Upload, post, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements). 
(d) Impersonate any person or entity. 
(e) Upload, post, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. 
(f) Illegal bargain or posting of fabricated information crime-oriented messages. 
(g) Sell guns, drugs, illicit drugs, pirate materials or other contrabands.  
(h) Provide gambling information or other ways to delude others in joining to gamble.  
(i) Upload, post, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation that are designated for such purpose. 
(j) Other inexpediency behavior judged by ASMAG.COM reasonably.

7. SYSTEM BREAKS DOWN OR OUT OF WORK.
ASMAG.COM service may happen to system break downs or be temporarily out of work, and may bring you some inconvenience, data loss, errors, data altering or other economical losses. When using ASMAG.COM service, you should take steps to minimize such damages. ASMAG.COM shall not be responsible or liable, directly or indirectly, for any damage or loss caused by using, or unable to use, ASMAG.COM service.

8. DATA OR SOFTWARE DOWNLOADING
ASMAG.COM is not responsible or liable for downloading of any such material from ASMAG.COM or other websites linking by this service. You should carefully consider the appropriateness, effectiveness, accuracy, completeness and whether it may invade others' rights of that material in prevention of losses, for example, damage to the computer system or lost data. ASMAG.COM shall not be responsible for any damage and losses.

9. GENERAL PRACTICES REGARDING USE AND STORAGE 
You acknowledge that ASMAG.COM may establish general practices and limits concerning use of the service, including without limitation the maximum number of days that personal message and message board postings or other uploaded content will be retained by the service. The maximum disk space will be allotted on ASMAG.COM's servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access the Service in a given period of time. You agree that ASMAG.COM has no responsibility or liability for the deletion or failure to store any messages and other communications or other content maintained or transmitted by the service. You acknowledge that ASMAG.COM reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that ASMAG.COM reserves the right to modify these general practices and limits from time to time.

10. INFORMATION AND ADVISEMENT
ASMAG.COM does not guarantee the accuracy of any information downloaded from ASMAG.COM or other websites linked by this service. ASMAG.COM has the right to revise or delete any provided information or advisement. You should consult professionals before making any related plans or decisions.
ASMAG.COM will cooperate with other company or third-party at any time, and they will provide news, information, e-news letter and etc to ASMAG.COM. ASMAG.COM will indicate providers of those material. With respect to provider's intellectual property, ASMAG.COM will not revise or judge the content and will not be responsible for the accuracy of the material. If there's any tort or fake information, please contact the provider directly.

ASMAG.COM MAKES NO WARRANTY THAT (i)  THE SERVICE WILL MEET YOUR REQUIREMENTS; 
(ii)  THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE;  
(iii)  THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE;  
(iv)  THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND  
(v)  ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

14. MEMBER CONDUCT
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. ASMAG.COM does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Service, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will ASMAG.COM be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

15. PROTECTION OF INTELLECTUAL PROPERTY RIGHTS
You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or by advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by ASMAG.COM or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. If you want to use the previous mentioned software, program or website content, you need to get ASMAG.COM, or other obligee's written agreement legally. Respecting intellectual property rights is your obligation. You are responsible for ASMAG.COM's any damage or loss caused by your violation of intellectual property rights. (Including but not limited to litigation fee and lawyer fee)

16. YOUR AUTHORIZATION
If your data is not authorized to use, modify, copy, frame, cache, reproduce, publish, transmit, display or otherwise use any proportion of the content legally, you cannot upload or transmit it to ASMAG.COM. Once you upload the data, ASMAG.COM considers it can be use on a public or personal basis and it can be used to modify, copy, frame, cache, reproduce, publish, transmit, display or otherwise use any proportion of the content without preconditions. And you should transfer authorized right to others without objection. You guarantee that when ASMAG.COM modify, copy, frame, cache, reproduce, publish, transmit, display or authorize to others without tort to a third person's intellectual property rights; otherwise you are responsible for any of ASMAG.COM's damage or loss. (Including but not limited to litigation fee and lawyer fee)

17. REFUSE OR TERMINATE YOUR USE
You acknowledge, consent and agree that ASMAG.COM may disclose your account information and Content according to some reasons, including but not limited to lack of usage or your violation ATS or spirit. 
You agree that ASMAG.COM may, under certain circumstances and without prior notice, immediately terminate your ASMAG.COM account and access to the Service. Further, you agree that all terminations for cause shall be made in ASMAG.COM's sole discretion and that ASMAG.COM shall not be liable to you or any third party for any termination of your account or any associated information and data.
